1. Who we are

These Terms of Service ("Terms") govern your access to and use of the website, products, downloads, templates, checklists, guides, emails, and related materials (together, the "Products" and "Services") offered by The Sovereign Ledger ("Sovereign Ledger," "we," "us," or "our").

2. Acceptance of these Terms

By accessing the website, purchasing a Product, or using any Service, you confirm that you are at least 18 years old and able to enter into a binding contract, and you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access the website or purchase or use the Products.

3. What the Products are — and are not

Our Products are self-guided, do-it-yourself informational tools. For example, the Stripe Roulette audit is a low-cost checklist and guide that walks you through reviewing settings inside your own payment dashboard and applying any changes yourself.

You run every Product against your own accounts. We do not log in to, connect to, integrate with, access, or modify your Stripe account, your payment processor, your bank, or any of your customers' data at any time. We never ask for your API keys, passwords, or account credentials, and you should never send them to us.

The Products are educational and informational only. They are not a substitute for professional advice and do not create any advisory, fiduciary, agency, or professional-client relationship between you and us.

4. No professional, financial, or legal advice

Nothing in the Products, on the website, in our emails, or in any related material is financial, accounting, bookkeeping, tax, investment, legal, or other professional advice, and none of it should be relied on as such.

We are not your accountant, auditor, financial adviser, attorney, or fiduciary. Any information is general in nature and may not fit your specific circumstances. Before acting on anything in a Product — including changing any billing, payment, retry, dunning, subscription, or tax setting — you are responsible for evaluating it yourself and, where appropriate, consulting a qualified professional licensed in your jurisdiction.

You are solely responsible for any decision you make and any change you apply to your own systems, and for the consequences of those decisions and changes.

5. No guarantee of results or earnings

Any numbers, figures, examples, estimates, "leak" amounts, recovery amounts, dollar ranges, return-on-investment multiples, case studies, or testimonials shown anywhere in the Products or on the website are illustrative only. They are not a promise, projection, or guarantee of any specific result, recovery, saving, or income.

Revenue and results depend on many factors outside our control, including your pricing, your customers, your product, your market, and how (and whether) you apply the information. We do not guarantee that you will recover any money, find any misconfiguration, save any amount, or achieve any particular outcome. Your results may be more, less, or nothing at all.

6. Not affiliated with Stripe or other third parties

The Sovereign Ledger is an independent product. We are not affiliated with, authorized by, endorsed by, sponsored by, or in any way officially connected to Stripe, Inc., or to Whop, Paddle, Lemon Squeezy, Chargebee, or any other payment processor, platform, or company referenced in our Products or on our website.

"Stripe" and all other product and company names, logos, and trademarks are the property of their respective owners. We reference them only to describe what our Products help you review. Use of these names does not imply any endorsement or partnership.

7. Pricing, payment, and processing

Prices are listed in U.S. dollars unless stated otherwise and may change at any time. The price that applies to your purchase is the price displayed at checkout.

Purchases are processed by third-party platforms and payment processors (for example, Whop). Your purchase is also subject to the applicable platform's and processor's terms and privacy policy. We do not receive or store your full card or banking details.

You are responsible for any taxes, duties, or fees that apply to your purchase and that are not collected at checkout.

8. Refunds

We offer a 30-day refund on the Stripe Roulette audit: if you complete the audit and genuinely find nothing worth fixing, email support@sovereignledger.app within 30 days of purchase and we will refund the amount you paid for that Product.

Refunds are processed through the platform you purchased from. We may decline or limit refunds where we reasonably believe a request is fraudulent, abusive, or repeated, or where it falls outside the stated refund window. Any response times we mention anywhere are targets, not guarantees.

Where a separate refund policy is presented at checkout for a specific Product, that policy also applies to that Product.

9. License and acceptable use

When you purchase a Product, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use that Product and its materials for your own business and your own accounts.

You may not:

• resell, redistribute, sublicense, rent, lease, lend, publish, post publicly, or otherwise share the Products or their materials with anyone else;
• copy or reproduce the materials except as reasonably necessary for your own internal use;
• reverse engineer, decompile, or attempt to extract underlying materials except to the limited extent the law expressly allows;
• use the Products or materials to build, train, or operate a competing product or service;
• remove or alter any copyright, trademark, or proprietary notices; or
• use the Products for any unlawful purpose or in violation of these Terms.

You may use a Product across more than one account that you own or operate yourself, consistent with the Product description.

10. Intellectual property

The website, the Products, and all of their content — including text, checklists, templates, guides, graphics, designs, and code — are owned by Sovereign Ledger or its licensors and are protected by intellectual-property laws. Except for the limited license granted above, no rights are transferred to you.

11. Your responsibilities and assumption of risk

You are responsible for the security of your own accounts and credentials, for backing up your own data, and for testing and verifying any change before and after you apply it to a live system.

Changes to payment, billing, dunning, retry, subscription, or tax settings can affect how you charge customers and collect revenue. You make all such changes at your own risk. We are not responsible for any change you choose to make based on a Product.

12. Disclaimer of warranties

The website, Products, and Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

We do not warrant that the Products will be accurate, complete, current, error-free, or uninterrupted, or that they will produce any particular result. You use the Products and any information in them at your own discretion and risk.

13. Limitation of liability

To the maximum extent permitted by law, in no event will Sovereign Ledger or its owner, contractors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the website, Products, or Services, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Products, Services, or these Terms will not exceed the total amount you actually paid us for the Product giving rise to the claim in the twelve (12) months before the event that gave rise to the liability.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In that case, our liability is limited to the smallest amount permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Sovereign Ledger and its owner and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Products or Services, any change you make to your own systems, your violation of these Terms, or your violation of any law or the rights of any third party.

15. Third-party services and links

The website and Products may reference or link to third-party websites, platforms, or services that we do not control, including payment processors and form tools. We are not responsible for their content, products, practices, or policies, and your use of them is at your own risk and subject to their terms.

16. Changes to the Products and Terms

We may modify, suspend, or discontinue any Product, price, or part of the Services at any time. We may also update these Terms from time to time. Changes are effective when posted with an updated "Last updated" date. Your continued use of the website or Products after changes are posted means you accept the updated Terms.

17. Termination

We may suspend or terminate your access to the Products or website at any time if you breach these Terms or use the Products in a way that could harm us, other users, or any third party. Provisions that by their nature should survive termination will survive.

18. Governing law and disputes

These Terms and any dispute arising out of or relating to them will be governed by and construed in accordance with applicable law, without regard to conflict-of-laws principles. Where permitted, disputes will be resolved in a court of competent jurisdiction. Nothing in this section limits any rights you may have under mandatory consumer-protection laws in your country of residence.

Before starting any formal proceeding, you agree to first contact us at support@sovereignledger.app and try in good faith to resolve the dispute informally.

19. General

If any provision of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any policy presented at checkout, are the entire agreement between you and us regarding the Products.
